II.2.4) Disgrifiad o’r caffaeliad
The Ness EfW Facility is a single line moving grate waste combustion plant with an operational capacity of 150,000 tonnes of waste per year, with a waste CV of 9.3 MJ/kg, equating to a thermal capacity of 49.1 MW(th) per hour. The facility is permitted to accept source segregated municipal solid waste and commercial and industrial waste of a similar nature. The Facility has a gross power generation capacity of 14 MW(e). The Facility operates in Combined Heat and Power (CHP) mode, exporting approx. 12 MW(e) net.
The O&M Services required to be provided under this Contract include:
- The receipt of all Contract Waste delivered by or on behalf of the Lead Authority and the Partner Councils, up to 150,000 tpa;
- The treatment of the Contract Waste to comply with the Scottish landfill diversion legislation;
- Recovery and export of up to 14 MW(e) gross and 10 MW(th);
- The management, operation and planned, reactive and preventative maintenance activities as required to ensure reliable operation of the Facility to achieve the treatment and energy export requirements stated above;
- The management, storage, marketing and transportation of all byproducts/recyclates, rejects and process residues from the treatment processes;
- Compliance with the Planning Permission and Environmental Authorisation;
- The provision of contingency arrangements if the Facility is not available to fulfil any aspect of the O&M Services;
- The handback of the Facility at the end of the Contract Period including all required documentation and training with a residual life of a minimum of 5 years.

This option shall be subject to: the Contractor's satisfactory performance; continuing operational, strategic and value-for-money requirements and all necessary governance requirements of the Partner Councils having been satisfied. SPD Question 4B.1.2:
Bidders will be required to have an average yearly turnover of a minimum of 50 million GBP for the last 3 years. The average turnover stated shall be based upon the figures reported in the last 3 year’s audited financial statements. The average shall be a weighted average with the most recent year’s turnover counting for 60%, the next most recent year counting for 30%, and the third most recent counting for 10%. Where, for any valid reason, the bidder does not have 3 year’s audited financial statements available, the Partner Councils may accept other forms of documentation which it considers acceptable as proof.
SPD Question 4B.1.2:
Net assets shall be calculated by the Bidder as at the date of the most recently published audited financial statements and should be based upon the financial position reflected therein. The calculation of net assets shall be based on tangible net assets only and shall therefore not include intangible assets such as goodwill and intellectual property. It is expected that Bidders will calculate one value for Net Assets which will then be compared to the “Acceptable Range” of a minimum of 60m GBP.
Where a minimum of 60m GBP cannot be evidenced, Bidders must provide:
1) full details of the reasons for this; and
2) additional supporting information on the suitability of their economic and financial standing to address this short-coming.
The Partner Councils will assess this evidence alongside their use of an independent credit scoring organisation, to conduct appropriate financial probity checks. Where it is considered that the additional supporting information does not provide evidence to the satisfaction of the Partner Councils that the risk is mitigated the Bidder shall be awarded a mark of fail and subsequently disqualified.
SPD Question 4B.6:
Bidders must:
i. meet the minimum economic and financial standing criteria
ii. confirm there are no material post balance sheet events or other business issues arising since the date of the last audited financial statements that materially impact the economic and financial standing of the economic operator and the turnover and financial ratios provided in response to SPD questions 4B.1.2 and 4B.4.1. Such confirmation should include (but not be limited to) any events which could be identified from publicly available financial information dating back to 1st January 2024. This will include a news search on commercial providers of business research information (e.g. Factiva, Avention, Thomson Reuters, and Bloomberg); or
Where the Bidder is not able to make such a declaration, they must provide full details of the relevant events alongside an explanation of the expected impact on the Bidder’s economic and financial standing. Supporting evidence must be provided where available. Further stipulations are detailed in the SPD Instructions document.

SPD Question 4C.1.2:
The Bidder must provide details of two (2) plants which demonstrate their experience operating and maintaining EfW facilities in the UK and/or EU and/or EEA/EFTA which:
1. use proven moving grate technology;
2. process MSW or MSW derived fuels such as refuse derived fuels or solid recovered fuels; and
3. were "Broadly Compliant" in the most recent facility assessment report issued by SEPA, other UK, or EU member state equivalent assessment report, or equivalent national body assessment report, or if it was not "Broadly Compliant" remedial action, approved by the regulator, was taken to address the issue(s) raised.
Both plants must have been operated and maintained by the Bidder for at least three (3) years.
Note: All references to the timescale for which the Bidder has been operating and maintaining the plant are from the Service Commencement Date (e.g. should not include periods of Hot Commissioning).
Both plants should currently be fully operational.
Details to be confirmed are further stipulated in the SPD Instructions document.
SPD Question 4C.2: The Bidder must provide details of the member of senior management with responsibility for health and safety including: full name; position; and qualifications.
SPD Question 4C.3: The Bidder must confirm whether any improvement notices, prohibition notices or prosecutions have been served on the Bidder in the past 5 years by the Health and Safety Executive or any other enforcement authority (or the equivalent in any other jurisdiction). If improvement notices, prohibition notices or prosecutions have been served, please provide details and measures taken or being taken to address notice concerns.
SPD Question 4C.7: Environmental Management Systems. Bidders to confirm that they either hold a UKAS (or equivalent) accredited independent third party certificate of compliance in accordance with BS EN ISO 14001, or equivalent details must be provided (see SPD Instructions Document for further stipulations).
SPD Question 4D.1 and 4D.1.1: Quality Management Procedures. Bidders must confirm that they either hold a UKAS (or equivalent) accredited independent third party certificate of compliance in accordance with BS EN ISO 9001, or equivalent details must be provided (see SPD Instructions Document for further stipulations).
Health and Safety Procedures. Bidder must confirm that they either hold a UKAS (or equivalent), accredited independent third-party certificate of compliance in accordance with ISO45001, or equivalent details must be provided (see SPD Instructions Document for further stipulations).

If Submissions are received from Consortia, the Partner Councils reserve the right to require every Consortium Member to enter into the Contract on a joint and several basis. Where a Consortium Member is relying on another entity for the purpose of financial standing, parent company guarantees or other form of security (acceptable to the Partner Councils acting reasonably) will be required to guarantee that Consortium Members’ liabilities under the Contract.
The Partner Councils reserve the right to disqualify any consortium which changes its composition after pre-qualification without the Partner Councils prior consent.

The Partner Councils reserve the right to reject or disqualify a Bidder where the Bidder or any Bidder is an economic operator excluded under Regulation 58 of the Public Contracts (Scotland) Regulations 2015 at any stage of the selection process.
Any change in Consortium Members or Reliance Entities after SPD response deadline must have prior agreement of the Partner Councils.
Appendix C of the SPD Instructions provides guidance on the sections of the SPD requiring completion by each Consortium Member and Reliance Entity.
When answering Question 2.A.3 in the SPD Bidders should detail their Company Number or alternative EU Registration Number (if applicable).
The Contract will not be divided into lots due to its complexity.
A Competitive Procedure with Negotiation is being used because of the complexity, the legal and financial makeup of the Facility and the risks which are attached to these; and the technical specifications of the contract cannot be established with reference to a standard common technical specification.
Bidders must self-certify adherence to selection and exclusion criteria via the SPD.
Relevant evidence and certificates, which support the declarations made in the SPD, shall be provided by the Bidder at ITT stage. When completing the SPD, Bidders must have regard for the specific selection requirements detailed in Section III of this Notice.
Following assessment of SPD Submissions we intend to invite 3 Bidders to submit a tender.
